This Service Agreement ("Agreement") is entered into between KanuTech Pty Ltd ("Provider") and the undersigned Client.
1. Scope of Services
Provider agrees to facilitate the onboarding of Client to the WhatsApp Business API via Meta’s Facebook Business platform. This includes technical configuration and ongoing monthly API availability for the Client's business operations.
2. Authorization
Client hereby authorizes Provider to manage the necessary Facebook Business Manager and Meta Business Suite assets solely for the purpose of the initial onboarding process and ongoing technical maintenance.
3. Monthly Service
The service is provided on a month-to-month basis. A monthly subscription fee applies for the ongoing WhatsApp API connectivity and technical support.
4. Fees & Payments
Monthly fees are as per the agreed-upon pricing. Payment is due at the beginning of each billing cycle. Failure to pay within 7 days may result in service suspension.
5. Term & Termination
This agreement is effective as of the signature date. Either party may terminate this Agreement by providing 30 days' written notice to the other party.
6. Data Privacy
Provider shall handle all Client and customer data in accordance with applicable data protection laws. Provider is a data processor under POPIA/GDPR where applicable.
7. Disclosure & Limitation
Provider shall not be liable for any service interruptions caused by third-party platforms (e.g., Meta/Facebook) or for any account-level actions taken by Meta, including account bans or verification delays.
8. Acceptable Use Policy
Client agrees to use the services for lawful purposes only and in accordance with Meta's terms. Client shall not use the service for unsolicited messaging (spam), prohibited content, or activities that may harm the reputation or technical integrity of the Provider's platform.
9. Indemnification
Client agrees to indemnify and hold Provider harmless from any claims, damages, or legal costs arising from the Client's use of the services, including any breach of third-party platform terms by the Client.
10. Intellectual Property
Provider retains all intellectual property rights to the technical platform, bot logic, and software provided. Client retains all rights to their proprietary customer data and content transmitted through the service.
